Josef David

    Josef David is a lawyer and partner with David & Macek, advokátní kancelář, s.r.o., and specializes in insolvency law, commercial law, real-estate law and capital markets law. In his work, Josef David is chiefly engaged in restructuring and insolvency proceedings, corporate law, including the acquisition of companies, project financing and real estate matters. Josef David has headed or otherwise participated in a number of major projects within, among others, these fields:

Corporate law; acquisition of companies

  • provided legal consultation to a significant financial group in its acquisition of a majority share in a major telecommunications services provider;
  • structured and negotiated contractual documentation for the companies of a significant power producing group in its acquisition of companies on the electricity production and trading markets in the Czech Republic, Slovakia and Bulgaria; and
  • provided legal consultation on the sale of a group of companies involved in the extraction of oil and natural gas.

Restructuring; insolvency law and work-out agenda

  • provided legal consultation to and representation of the companies of a creditor in insolvency proceedings held against ECM REAL ESTATE INVESTMENTS A.G., including at the related creditors’ committee meetings;
  • provided legal consultation to a group of bond holders in the Sazka, a.s. insolvency proceedings – the largest ever insolvency in Czech Republic;
  • provided legal consultation on insolvency law and representation in insolvency proceedings to Česká pošta, s.p., the national postal service in Czech Republic;
  • provided legal consultation to a significant Czech bank on the restructuring of part of its loan portfolio and the collection of debts in the related insolvency proceedings;
  • provided legal consultation to companies from a significant insurance group in the consolidation of their real-estate portfolios and advised these companies in their participation in insolvency proceedings as creditors; and
  • provided legal consultation to a group of companies involved in the trade in and processing of wood in insolvency proceedings conducted against certain companies of this group.

Capital markets law

  • structured and realized the re-purchase of shares of a significant power producing group;
  • provided legal consultation in the realization of takeovers concerning Zentiva N.V., ECM REAL ESTATE INVESTMENTS A.G. and Telefónica Czech Republic, a.s.; and
  • established and arranged the licensing of qualified investor funds in the Czech Republic, including the first separate non-banking fund of qualified investors in the Czech republic.

Real estate

  • provided legal consultation in the creation of a real-estate holding company by a significant financial group;
  • structured and negotiated the contractual documentation for the construction, sale, lease and administration of real estate for clients across all sectors, including e.g. the construction and operation of conventional sources of electricity, photovoltaic and wind parks; and
  • provided legal consultation regarding facility and property management services.

Recodification of civil law

  • provided legal consultation on the recently re-codified amendments to civil law, including a review of the contractual documentation, legal opinions, seminars and workshops of several Czech banks, insurance companies and providers of non-banking financing, significant industrial companies, business companies, a company engaged in postal services and companies operating television broadcasting.
    Prior to founding David & Macek, advokátní kancelář, s.r.o., Josef David worked as a Senior Attorney for a major international law office (2006-2014). Before joining them, Mr. David worked for one of the largest law firms in the Czech Republic, thereby also gaining experience in managerial positions in companies involved in the information technology field. Apart from his legal practice, Josef is also engaged in pedagogical activity at the Faculty of Law of Charles University in Prague. Josef David graduated with a master’s degree (Mgr.) from the Faculty of Law of Charles University in Prague and a technical degree (Ing.) from the Faculty of Business Administration of the University of Economics, Prague.
